These Terms of Sale & Use (“Terms”) govern your access to and purchases from the website operated by Vita Labs LLC(“Vita Labs,” “we,” “us,” or “our”). By registering an account, placing an order, or otherwise using this site, you agree to these Terms in full. If you do not agree, do not use this site or purchase our products.

1. Research Use Only

All products sold by Vita Labs are supplied strictly for laboratory and developmental research use only. They are notdrugs, foods, cosmetics, or dietary supplements, and are not intended or approved for human or veterinary use, consumption, ingestion, injection, or any diagnostic, therapeutic, or clinical application. No product sold by Vita Labs has been evaluated or approved by the U.S. Food and Drug Administration for any use in humans or animals.

Products are supplied as lyophilized (freeze-dried) powder for use by qualified professionals in a controlled research setting.

2. Eligibility

By purchasing, you represent and warrant that you:

  • are at least 21 years of age;
  • are a qualified research professional, institution, laboratory, or business acquiring products solely for lawful in-vitro, non-human research;
  • will not use, resell, or distribute any product for human or veterinary consumption or for any therapeutic, diagnostic, or clinical purpose;
  • will handle, store, use, and dispose of all products in accordance with applicable laws, regulations, and accepted laboratory safety practices; and
  • are not a governmental buyer purchasing for redistribution to consumers.

We sell only to verified accounts and reserve the right to require documentation of institutional or research affiliation, and to refuse or cancel any order at our sole discretion.

3. No Usage, Dosing, or Administration Guidance

Vita Labs does not provide, solicit, endorse, or condone any usage instructions, dosage guidance, reconstitution protocols for administration, or any advice regarding human or animal use of any product. Any information provided (such as a certificate of analysis, molecular data, or safety data sheet) is for research reference only. You assume full and sole responsibility for the handling and use of all products.

4. Assumption of Risk; No Medical Claims

You acknowledge that our products are potent research chemicals that may be hazardous and must be handled only by trained professionals. We make no representations or warranties of any kind regarding the suitability of any product for any particular purpose, and expressly disclaim any medical, therapeutic, or health-related claims. You assume all risk associated with your purchase, handling, and use of our products.

5. Orders, Pricing & Acceptance

All orders are offers to purchase and are subject to acceptance by Vita Labs. We may refuse, limit, or cancel any order, including after an order confirmation is sent, for any reason, including suspected human-use intent, resale to consumers, pricing errors, or inability to verify eligibility. Prices are subject to change without notice. You are responsible for all applicable taxes.

6. Shipping

We ship to commercial and institutional addresses within the United States. Title and risk of loss pass to you upon delivery to the carrier, subject to any shipment protection expressly offered. You are responsible for ensuring that receipt and possession of the products is lawful at your delivery location.

7. Limitation of Liability

To the fullest extent permitted by law, Vita Labs LLC, its members, officers, employees, and suppliers shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss or injury arising out of or related to the purchase, handling, use, or misuse of any product. Our total aggregate liability for any claim shall not exceed the amount you paid for the product giving rise to the claim. Some jurisdictions do not allow certain limitations; where prohibited, our liability is limited to the maximum extent permitted by law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Vita Labs LLC and its members, officers, employees, and suppliers from and against any claims, damages, liabilities, losses, and expenses (including reasonable attorneys’ fees) arising from your breach of these Terms, your misuse of any product, or your use of any product in violation of the Research Use Only restriction.

9. Governing Law & Venue

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You agree that any dispute arising under these Terms shall be brought exclusively in the state or federal courts located in New York, and you consent to their jurisdiction.

10. Changes

We may update these Terms at any time. Continued use of the site or purchases after changes take effect constitute acceptance of the revised Terms.
